Terms of Service

    Welcome to Karbon Analytics. These Terms of Service ("Terms") govern your access to and use of our platform, websites, and services (collectively, the "Service"). By accessing or using the Service, you agree to be legally bound by these Terms.


    1. Use of the Service

    You may use the Service only in compliance with these Terms and all applicable laws and regulations. You are responsible for your use of the Service and any content you provide.

    You agree not to:

    • Violate any applicable law or regulation.
    • Abuse, interfere with, or disrupt the Service or networks connected to it.
    • Use the platform to send spam, harass others, or engage in abusive or deceptive behavior.
    • Reverse-engineer, copy, resell, or distribute any part of the Service, including dashboards, reports, or AI-generated content.

    We reserve the right to enforce limits on usage (e.g., API or request rate limits), and suspend or terminate accounts that violate these Terms or harm the platform or other users.

    2. Account Registration

    To use certain parts of the Service, you may need to create an account. You must provide accurate and complete information and keep it updated.

    You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

    3. Subscription, Billing & Payment

    Karbon Analytics is a subscription-based platform. Access to the Service is only available to users with an active paid subscription. We do not offer a free plan, but a 14-day trial is available to eligible users. After the trial ends, continued access requires a valid subscription.

    3.1 Subscription Plans

    All pricing, plan types, and billing frequencies are made available on our pricing page and may be updated from time to time. Your subscription begins on the date you complete payment and will automatically renew at the end of each billing cycle unless canceled in accordance with these Terms.

    3.2 Payment Processing

    We use Polar, a third-party Merchant of Record (MoR) built on Stripe, to manage all subscription payments, invoices, tax handling, and receipts. By subscribing, you agree to be bound by Polar's terms of service and Stripe's terms of service.

    3.3 Payment Requirements

    You must provide valid and authorized payment information. If a payment attempt fails, you may be notified and given a grace period to update your payment method. If payment is not completed within this period, your access to the Service may be suspended or terminated.

    3.4 Refunds

    Except where required by law, all payments are non-refundable. We do not provide refunds for cancellations made after renewal. However, plan changes (upgrades or downgrades) are automatically handled by Polar with prorated billing - you will receive account credit for the unused portion of your current plan on downgrades, or be charged a prorated amount for the remaining days when upgrading to a higher plan level.

    3.5 Cancellation & Termination

    You may cancel your subscription at any time through your billing portal. Upon cancellation, your subscription will remain active until the end of the current billing period. We do not offer pro-rated refunds.

    We reserve the right to terminate access to the Service if payment is not received on time, or if there is any violation of these Terms.

    3.6 Price Changes

    We may change subscription fees at any time. Any price changes will take effect at the start of the next billing cycle, and you will be notified in advance via email or through the Service.

    3.7 Abuse of Trial Period

    Each individual or organization is eligible for one trial period only. We reserve the right to detect and block multiple or fraudulent trial signups created to bypass subscription requirements.

    If we reasonably determine that a user is attempting to abuse the trial system—such as by using multiple email addresses, identities, or accounts to obtain repeated free access—we may suspend or permanently block access to the Service, with or without notice.

    4. Data Rights & Ownership

    4.1 User Data Ownership

    You retain all rights, title, and interest in any data you import or connect to the Service from third-party sources (such as Shopify, Google Analytics, and similar platforms). Karbon Analytics does not claim ownership over your business data.

    We access and process your connected data solely for the purpose of providing and improving the Service. We do not use your business data for training models, selling to third parties, or building unrelated products.

    4.2 Platform Usage Data

    We may collect usage information and behavioral data when you interact with the Service (e.g., through session tracking, feature engagement, and navigation behavior). This data is anonymized or pseudonymized and used strictly for product improvement, analytics, and support. You agree to this collection as part of using the platform.

    4.3 Generated Content & Reports

    All analytics logic, dashboards, AI-generated insights, and visualizations produced by the platform are the intellectual property of Karbon Analytics. You are granted a non-exclusive, non-transferable license to use these outputs for your internal business purposes while your subscription is active.

    4.4 Data Retention After Termination

    If your subscription is canceled or terminated, we will retain your imported business data for a grace period of 30 days to allow for account reactivation or data export. After this period, all your business data will be permanently deleted from our systems in compliance with GDPR requirements.

    However, platform-generated content that belongs to Karbon Analytics (such as anonymized usage analytics, system logs, and aggregated insights) may be retained indefinitely for our legitimate business interests, as this data does not contain your personal or business information.

    5. Intellectual Property

    All content, tools, dashboards, templates, and software provided by Karbon Analytics are the intellectual property of Karbon Analytics. You may not copy, modify, reproduce, or distribute any part of the Service without written permission.

    Access to the Service does not grant you ownership or license to any intellectual property beyond the limited right to use the platform as provided.

    6. Artificial Intelligence

    Some features of the Service may use artificial intelligence ("AI") to generate insights, recommendations, or content. These outputs may be powered by third-party AI providers or internal models.

    Data Privacy with AI Services: We do not share any personal data with external AI services. When using third-party AI providers, they only receive anonymized parameters that we generate from your data in a completely anonymized way, ensuring your business information remains private and secure.

    You understand that:

    • AI-generated content is provided "as-is" and may not always be accurate or suitable for decision-making without review.
    • You may not use AI features in a way that violates laws or the rights of others.
    • We reserve the right to change AI models or providers without prior notice.

    7. Data Security and Infrastructure

    User data is stored securely in cloud infrastructure located in the United States. We use access-restricted, encrypted systems and implement best practices for isolation and protection of data.

    The specific infrastructure, architecture, or vendors we use may change over time, but we maintain a high standard of operational security across all services.

    8. Termination

    We may suspend or terminate your access to the Service at any time, with or without notice, if we determine that you have violated these Terms, caused harm to the platform, or presented a risk to other users.

    9. Disclaimers

    Karbon Analytics is built on secure and reliable infrastructure provided by Amazon Web Services (AWS), and we implement industry-standard practices for data security, isolation, and availability. While we take every reasonable and enterprise-grade measure to ensure accuracy, security, and uptime, we cannot guarantee that the Service will always be error-free, uninterrupted, or immune to disruptions originating from third-party infrastructure or networks.

    10. Limitation of Liability

    To the fullest extent permitted by law, Karbon Analytics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of data, revenue, or profits, arising from your use of or inability to use the Service.

    11. Indemnification

    You agree to indemnify, defend, and hold harmless Karbon Analytics, its operators, affiliates, contractors, and employees from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

    • Your use or misuse of the Service;
    • Your violation of these Terms;
    • Your violation of any applicable laws or regulations;
    • Any content or data you submit, import, or integrate into the Service, including any third-party claims that such content infringes intellectual property or violates data protection laws.

    This obligation survives the termination of your use of the Service.

    12. Modifications to the Terms

    We may update these Terms at any time. If we make material changes, we will notify you via email or a notice within the platform. Continued use of the Service after changes means you accept the updated Terms.

    13. Governing Law

    These Terms are governed by the laws of the Republic of Turkey, as Karbon Analytics is a registered business operating under Turkish jurisdiction. Karbon Analytics also adheres to international data protection and consumer rights standards, including the General Data Protection Regulation (GDPR) for users in the European Economic Area (EEA) and the California Consumer Privacy Act (CCPA).

    Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Istanbul, Turkey.
